Austrian Post takes majority in trans-o-flex
Acquisition of 74.9 % effective end of 2006 / Austrian Post CEO Dr. Wais announces further international expansion / Weinheim-based logistics group to continue as separate entity


Weinheim, October 30, 2006 - The Austrian Post (Österreichische Post AG or ÖPAG) will acquire 74.9 per cent of the shares in trans-o-flex GmbH and associated companies from Odewald & Compagnie Gesellschaft für Beteiligungen mbH and Alpha Beteiligungsberatung GmbH und Co. KG, effective at the end of 2006. Odewald & Compagnie and Alpha will retain a holding of 25.1 per cent. The Management and Supervisory Boards of ÖPAG have already given their seal of approval to the transaction, which is subject to the consent of the appropriate cartel authorities.

The transaction means that ÖPAG is strengthening its parcels and logistics division, increasing its European reach and intensifying its existing successful cooperation with trans-o-flex. ÖPAG is already delivering about 5,000 parcels per day in Austria on behalf of trans-o-flex. The two partners see additional potential for the creation of value, above all in the expansion of the international network. The Austrian Post now has its own full-coverage parcels and logistics networks in Germany, Austria, Slovakia and Croatia and covers another 18 European countries via the trans-o-flex-led European Distribution Network (EURODIS).

"This acquisition provides Austrian Post with the foundation for further growth in the dynamic parcels market and makes Austria the platform between Western and Eastern Europe - and this is just the start of our work to create a pan-European niche business," said Dr. Anton Wais, CEO and Chairman of the ÖPAG Management Board.
Klaus J. Heinz, trans-o-flex CEO, added: "For us, having ÖPAG as our majority shareholder means having a strategic investor whose interest lies in steady, long-term development of trans-o-flex, who wants to stay on course and with whose support we will be able to move our internationalisation forward." In his view, the new shareholder is "a clear plus for trans-o-flex and our employees and customers."

Thanks to substantial re-organisation and investment in recent years, trans-o-flex is "very well positioned" in Germany and Europe, according to Heinz. "With the new corporate structure in place, the company can now concentrate fully on extending the network and developing new and innovative solutions for our customers." The existing Management Board will remain in office and continue to manage the company as a separate entity. "All the signals are now showing green for us, and I’m sure we’re going to make some waves."
